Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and 5N6 LTD, a company registered in England and Wales ("5N6 LTD", "we", "us", or "our"), governing your access to and use of the AISTRYX software application, including any associated services, features, content, and updates (collectively, the "Software").

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE SOFTWARE.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Software on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. License Grant and Scope

Subject to your compliance with these Terms and payment of applicable fees, 5N6 LTD grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Software solely for your personal or internal business purposes of stock analysis.

2.1 Subscription Terms

  • Annual Subscription: Grants access to the Software for one (1) year from the date of purchase. Subscriptions automatically renew at the then-current annual rate unless cancelled before the renewal date
  • Free Trial: A free seven (7) day trial may be offered for evaluation purposes. No payment is required for the trial period. Access expires automatically at the end of the trial unless you subscribe
  • Press/Evaluation Licences: May be issued at our discretion for press, review, or evaluation purposes for a limited period

2.2 License Restrictions

  • Licences are personal to the User and may not be shared, sold, leased, assigned, or otherwise transferred to any third party
  • Licences are subject to our Refund Policy and Cancellation Policy as set forth separately
  • Upon cancellation or non-renewal, access to the Software will terminate at the end of the current billing period

2.3 Auto-Renewal and Cancellation

Annual subscriptions will automatically renew for successive one-year periods at the then-current subscription rate. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of the current billing period, and you will retain access until that date.

This licence does not grant you any ownership rights in the Software. All rights not expressly granted herein are reserved by 5N6 LTD.

3. Restrictions and Prohibited Conduct

You expressly agree that you shall not, and shall not permit any third party to:

  • Copy, reproduce, distribute, publicly display, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code, algorithms, or data structures of the Software
  • Modify, translate, adapt, or alter the Software in any way
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Sell, resell, rent, lease, lend, sublicence, assign, or transfer the Software or your licence rights
  • Use the Software for any illegal, fraudulent, harmful, or unauthorised purpose
  • Circumvent, disable, or interfere with any security, licence validation, or access control mechanisms
  • Use the Software to develop competing products or services
  • Introduce malicious code, viruses, or other harmful components through or in connection with the Software
  • Use the Software in any manner that could damage, disable, overburden, or impair our systems or infrastructure

4. Intellectual Property Rights

The Software, including but not limited to its source code, object code, algorithms, user interface, design, graphics, text, data, documentation, and all related intellectual property, is and shall remain the sole and exclusive property of 5N6 LTD and its licensors. The Software is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United Kingdom, the European Union, the United States, and international treaties.

"AISTRYX", "5N6 LTD", and associated logos, names, and marks are trademarks of 5N6 LTD. You are not granted any right or licence to use these trademarks without our prior written consent.

Any feedback, suggestions, ideas, or other submissions you provide regarding the Software shall become our exclusive property, and we may use such feedback without restriction, attribution, or compensation to you.

5. Nature of the Software and Trading Disclaimer

IMPORTANT RISK WARNING: PLEASE READ THIS SECTION CAREFULLY.

5.1 AISTRYX is an Analysis Tool, Not a Trading Platform

AISTRYX is a desktop software application that provides AI-powered analysis, market research, and informational insights to assist users in making their own investment decisions. AISTRYX is expressly NOT:

  • A trading platform or brokerage service
  • A financial adviser or regulated investment service
  • An automated trading system or algorithmic trading bot
  • A managed investment or discretionary portfolio service

5.2 Human-in-the-Loop: You Make All Investment Decisions

AISTRYX operates on a strict "human-in-the-loop" model. This means:

  • The AI provides analysis only — it does not execute, initiate, or complete any transactions on your behalf
  • You retain full control — every investment decision, including whether to buy, sell, or hold any financial instrument, is made solely by you
  • Read-only broker access — AISTRYX may connect to your brokerage account solely to read portfolio data for analysis purposes. It cannot place orders or modify your positions
  • The Software does not access your funds — AISTRYX cannot withdraw, transfer, or allocate your capital

5.3 Not Financial Advice

THE SOFTWARE DOES NOT CONSTITUTE, AND SHALL NOT BE CONSTRUED AS, FINANCIAL ADVICE, INVESTMENT ADVICE, INVESTMENT RECOMMENDATIONS, OR ANY FORM OF PROFESSIONAL FINANCIAL GUIDANCE. 5N6 LTD is not authorised or regulated by the Financial Conduct Authority (FCA) or any other financial regulatory body for the provision of investment advice.

5.4 Investment Risks

Investing in financial instruments, including but not limited to stocks, ETFs, mutual funds, and other securities, involves risk of loss. Past performance is not indicative of future results.

YOU ACKNOWLEDGE AND AGREE THAT:

  • Past performance of any investment strategy or analysis is not indicative of future results
  • The Software's outputs, signals, and analyses are for informational purposes only and should not be relied upon as the sole basis for any investment decision
  • You are solely responsible for your own investment decisions and for any resulting profits or losses
  • You should seek independent professional financial advice before making any investment decisions
  • 5N6 LTD makes no guarantees regarding profitability, returns, or the accuracy of any analysis
  • You may lose some or all of your invested capital
  • The AI analysis may contain errors, inaccuracies, or be based on incomplete or outdated information

5N6 LTD expressly disclaims any and all liability for financial losses, investment losses, lost profits, or any other damages arising from or related to your investment activities or reliance on the Software.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 5N6 SOFTWARE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY DATA, CONTENT, OR ANALYSIS PROVIDED BY THE SOFTWARE
  • WARRANTIES THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SOFTWARE WILL BE COMPATIBLE WITH ANY SPECIFIC HARDWARE OR SOFTWARE CONFIGURATION

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 5N6 SOFTWARE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING BUT NOT LIMITED TO CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU FOR THE SOFTWARE LICENCE; OR (B) ONE HUNDRED POUNDS STERLING (£100).

Nothing in these Terms shall limit or exclude our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be lawfully limited or excluded under applicable law.

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS
  • ANY TRADING LOSSES, FINANCIAL LOSSES, OR INVESTMENT LOSSES
  • ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR SYSTEM FAILURES
  • ANY DAMAGES ARISING FROM INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SOFTWARE
  • ANY DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS
  • ANY DAMAGES ARISING FROM ERRORS, INACCURACIES, OMISSIONS, OR DEFECTS IN THE SOFTWARE

8. Indemnification

You agree to defend, indemnify, and hold harmless 5N6 LTD, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Software; (b) your breach of these Terms; (c) your violation of any applicable law, regulation, or third-party rights; (d) your trading activities and any resulting losses; or (e) any content or data you provide through the Software.

9. Termination

We may terminate or suspend your licence and access to the Software immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms; (b) non-payment of applicable fees; (c) fraudulent, abusive, or illegal activity; (d) upon request by law enforcement or government authorities; or (e) discontinuation of the Software.

Upon termination: (i) your licence rights shall immediately cease; (ii) you must immediately cease all use of the Software; (iii) you must delete or destroy all copies of the Software in your possession; and (iv) we may delete your account and associated data.

The following provisions shall survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.

10. Updates, Modifications, and Discontinuation

5N6 LTD reserves the right to modify, update, enhance, or discontinue the Software, in whole or in part, at any time without prior notice or liability. Updates may be required for continued use of the Software and may be installed automatically.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Software. Your continued use of the Software following any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Software.

11. Privacy and Data Protection

Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By using the Software, you consent to such collection and processing and warrant that all data provided by you is accurate.

12. Third-Party Services and Links

The Software may integrate with or contain links to third-party services, websites, or content. 5N6 LTD does not control, endorse, or assume responsibility for any third-party services or content. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties. We shall have no liability for any damages arising from your use of third-party services.

13. Force Majeure

5N6 LTD shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, labour disputes, pandemics, power failures, internet or telecommunications failures, cyberattacks, or failure of third-party services.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Waiver

No failure or delay by 5N6 LTD in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right or the exercise of any other right.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and 5N6 LTD regarding the Software and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the same subject matter.
